Terms of Service

These Terms of Service govern your access to and use of the Humalyzer platform. By accessing the platform you agree to be bound by these terms.

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client" or "User") and Humalyzer ApS ("Humalyzer", "we", "us"). By creating an account, accepting a company invitation, or otherwise accessing the platform, you confirm that you have read, understood, and agree to these Terms on behalf of yourself and, where applicable, the organisation you represent. These Terms are subject to ongoing legal review and will be updated before commercial go-live. A full legal review by qualified Danish counsel will take place prior to the platform's general availability.

1. Parties

These Terms are entered into between Humalyzer ApS ("Humalyzer"), CVR no. 46379721 (contact: support@humalyzer.dk) — and the Client, being the company or individual that has created an account or otherwise accepted these Terms, as identified during the registration process.

References to "you" or "your" refer to the Client and, where the context permits, any authorised user acting on behalf of the Client.

2. Service Description

Humalyzer provides a B2B software-as-a-service (SaaS) platform for evidence-based personality assessment in professional and organisational contexts. The platform enables client companies to:

  • Invite candidates, employees, or other designated participants to complete a structured personality assessment.
  • Review psychometric profiles derived from assessment responses, including MBTI type, Big Five (OCEAN) traits, Self-Determination Theory (SDT) motivation scores, Gallup-style strength rankings, conflict style profiles, stress risk indicators, motivation profiles, and team role fit scores.
  • Download individual profile reports in PDF format.
  • Manage participant invitations and dashboard access through a role-based administration interface.

The assessment instrument and scoring algorithms are proprietary to Humalyzer. The platform is provided on a subscription or per-use basis as agreed in the applicable commercial agreement between Humalyzer and the Client. These Terms apply to all tiers of access.

The platform is a decision-support tool. Humalyzer does not make or recommend employment decisions. All decisions based on assessment results remain the sole responsibility of the Client.

3. Account Access & Security

Access to the dashboard is granted to authorised admin users designated by the Client. The Client is responsible for:

  • Ensuring that only authorised individuals are granted admin access.
  • Maintaining the confidentiality of account credentials.
  • Promptly revoking access for users who leave the organisation or no longer require access.
  • Notifying Humalyzer immediately at support@humalyzer.dk if unauthorised access to the account is suspected.

Humalyzer reserves the right to suspend or terminate access where there is evidence of a security incident, misuse, or breach of these Terms.

4. Acceptable Use

You agree to use the platform solely for its intended purpose of professional personality assessment and talent development in an organisational context. You must not:

  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation, including GDPR and Danish employment law.
  • Invite participants without their knowledge or without a lawful basis for processing their special category data.
  • Use assessment results as the sole basis for employment decisions, in violation of Art. 22 GDPR.
  • Attempt to reverse-engineer, decompile, scrape, or otherwise extract the assessment instrument, scoring algorithm, or any proprietary content.
  • Reproduce or redistribute assessment results, reports, or platform content outside your organisation without Humalyzer's prior written consent.
  • Attempt to circumvent authentication, rate limits, or any other security control of the platform.
  • Introduce malicious code, perform denial-of-service attacks, or otherwise interfere with the platform's operation.
  • Misrepresent the purpose of the assessment to participants.
  • Use the platform to process data of individuals known to be under 16 years of age.
  • Allow access to the platform by third parties other than your own authorised admin users without a separate written agreement with Humalyzer.

You are responsible for ensuring that all individuals within your organisation who use the platform comply with these Terms and with applicable data protection obligations.

5. Data & Privacy

The processing of personal data through the platform is governed by the Data Processing Agreement (DPA) which must be accepted by the Client before the platform may be used to invite participants. The DPA is incorporated by reference into these Terms.

As a data controller for participant data, the Client is solely responsible for:

  • Establishing and documenting a lawful basis for processing participants' personal data, including the Art. 9(2) gateway for special category psychometric data.
  • Providing appropriate privacy notices and, where required, obtaining explicit consent from participants prior to assessment.
  • Responding to data subject rights requests from participants in a timely manner.
  • Ensuring that assessment results are used in a manner consistent with the purposes communicated to participants.

6. Intellectual Property

All intellectual property rights in the Humalyzer platform, including the assessment instrument, scoring algorithms, question bank, scoring weights, report templates, software, documentation, and branding, are and shall remain the exclusive property of Humalyzer ApS or its licensors.

Humalyzer grants the Client a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for the Client's internal business purposes during the term of the agreement. This licence does not include the right to sublicense, reproduce, modify, or create derivative works from any platform content.

Assessment result data and participant data generated through the platform remains the property of the Client. Humalyzer processes this data solely as a processor in accordance with the DPA and does not claim any ownership rights over it.

7. Availability & Maintenance

Humalyzer will use reasonable efforts to maintain platform availability. However, we do not guarantee uninterrupted or error-free operation. The platform may be unavailable due to scheduled maintenance, for which we will endeavour to provide advance notice; unplanned outages caused by infrastructure failures, security incidents, or third-party provider issues; or force majeure events outside our reasonable control.

Service level targets, if applicable, will be set out in the Client's separate commercial agreement with Humalyzer. In the absence of a specific SLA, no uptime guarantee is provided.

8. Limitation of Liability

To the fullest extent permitted by applicable Danish law:

  • Humalyzer's total aggregate liability to the Client arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client to Humalyzer in the twelve (12) months preceding the event giving rise to the claim, or DKK 10,000, whichever is greater.
  • Humalyzer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, or reputational harm, even if Humalyzer has been advised of the possibility of such damages.
  • Humalyzer expressly disclaims all liability for employment decisions made by the Client on the basis of assessment results. The Client is solely responsible for how it uses and communicates assessment outputs.
  • Humalyzer shall not be liable for supervisory authority fines or penalties imposed on the Client arising from the Client's failure to fulfil its own obligations as a data controller.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Danish law.

9. Warranty Disclaimer

The platform is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.

Humalyzer does not warrant that:

  • The platform will be error-free, uninterrupted, or free of security vulnerabilities at all times.
  • Assessment results will predict job performance, suitability, or any other specific outcome.
  • The psychometric instruments will be validated for every industry, role, or cultural context in which they are applied.

Clients are encouraged to use assessment results as one data point among several and to apply professional HR judgement when interpreting profiles.

10. Termination

Either party may terminate the agreement with written notice as specified in the commercial agreement. In the absence of a commercial agreement, either party may terminate on 30 days' written notice.

Humalyzer may suspend or terminate access immediately and without notice where:

  • The Client materially breaches these Terms and fails to cure the breach within 14 days of written notice.
  • The Client uses the platform in a manner that poses a legal or reputational risk to Humalyzer or to data subjects.
  • The Client fails to accept or comply with the Data Processing Agreement.
  • There is a reasonable suspicion of fraudulent activity or a security incident involving the Client's account.

Upon termination, the Client's access to the platform will be revoked. Participant data will be handled in accordance with the DPA and the retention periods set out in the Privacy Policy. The Client may request a data export prior to termination.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-law provisions.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Aarhus, Denmark, as the court of first instance, unless mandatory consumer or employment protection law requires otherwise.

For Clients established within the EU, mandatory provisions of the law of the Client's country of establishment shall not be excluded where those provisions afford greater protection to the Client than Danish law.

12. Complaints Mechanism

If you have a complaint about the platform, these Terms, or how we have handled your data, please contact us in the first instance at support@humalyzer.dk. We will acknowledge your complaint within 5 working days and aim to resolve it within 30 calendar days. Complex complaints may require additional time; we will notify you if this is the case.

If we are unable to resolve your complaint to your satisfaction, you may refer it to the relevant supervisory or consumer protection authority in your jurisdiction. For data protection matters, the Danish supervisory authority is Datatilsynet (see our Privacy Policy, Section 13).

13. Changes to These Terms

Humalyzer reserves the right to update these Terms at any time. Material changes will be communicated to active Clients by email or via a notice on the dashboard at least 30 days before they take effect. Continued use of the platform after the effective date of a change constitutes acceptance of the updated Terms.

Where changes are required by law or to address a security concern, they may take effect immediately with as much notice as is reasonably practicable.
